1. Informational purpose; no advice

The Site is provided for general informational purposes concerning GPWBA and its events, membership, and sponsorship opportunities. While we endeavor to keep the Site accurate and current, we make no representation that its content is complete, accurate, or up to date. Nothing on the Site constitutes legal, financial, tax, or other professional advice, and no fiduciary or advisory relationship is created by your use of it.

2. No offer; inquiries are not binding

Descriptions of membership, sponsorship, and events on the Site are invitations to inquire and do not constitute an offer capable of acceptance. Submitting a form creates no membership, sponsorship, or other agreement. Any such arrangement is established only by a separate written agreement or express written confirmation from GPWBA. Benefits, pricing, dates, venues, and availability are subject to change or withdrawal at any time.

3. Eligibility

The Site is intended for individuals who are at least eighteen years of age and who are acting in a business or professional capacity. By using the Site or submitting a form, you represent that you meet this requirement and that any information you provide is accurate and your own.

4. Your submissions

You retain ownership of the information and materials you submit through the Site. You grant GPWBA a non-exclusive, royalty-free license to use, store, and reproduce your submission for the limited purpose of responding to it and administering the membership or sponsorship you have inquired about. You represent that you have the right to provide what you submit and that it does not infringe the rights of any third party. Do not submit confidential information through the Site; submissions are not treated as confidential and no non-disclosure obligation arises from them.

5. Acceptable use

You agree that you will not:

• use the Site in violation of any applicable law or regulation;
• submit false, misleading, or third-party personal information through any form on the Site;
• interfere with, disrupt, probe, or attempt to gain unauthorized access to the Site or its underlying systems, or impose an unreasonable load upon them;
• scrape, harvest, mirror, or systematically extract content from the Site, or use it to train machine learning models, without our prior written consent;
• use the Site or information obtained from it to send unsolicited commercial communications or to harass any person.

We reserve the right to restrict or terminate access to the Site, in whole or in part, at our discretion and without notice.

6. Intellectual property

The Site and its contents, including text, graphics, logos, photographs, and design elements, are owned by GPWBA or used under license and are protected by United States and international intellectual property laws. You are granted a limited, revocable, non-exclusive, non-transferable license to view the Site for personal and internal business purposes. No other right is granted, and any other reproduction, distribution, modification, or public display requires our prior written permission. Sponsor names, event brands, and other third-party marks are the property of their respective owners.

7. Third-party sites and services

The Site contains links to third-party websites and services, including event registration platforms such as Eventbrite and the websites of our sponsors and members. We do not control and are not responsible for the content, products, practices, or privacy policies of those third parties. Registration, payment, refund, and cancellation matters relating to third-party platforms are governed by the terms of the applicable third party. Links do not imply endorsement.

8. Availability and termination

The Site is provided free of charge, and we make no commitment as to its availability. We may modify, suspend, or discontinue the Site or any part of it, and may restrict or terminate your access, at any time and without notice or liability to you. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law, survive.

9. Disclaimer of warranties

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, GPWBA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GPWBA AND ITS ORGANIZERS, VOLUNTEERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, BUSINESS, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100). Some jurisdictions do not allow certain limitations, in which case the foregoing applies to the maximum extent permitted.

11. Indemnification

You agree to indemnify and hold harmless GPWBA and its organizers, volunteers, and agents from any claim, demand, loss, or expense, including reasonable attorneys’ fees, arising out of your use of the Site, your submissions, or your breach of these Terms.

12. Governing law and venue

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws principles. You agree that the state and federal courts located in Philadelphia County, Pennsylvania shall have exclusive jurisdiction and venue over any dispute arising out of or relating to these Terms or the Site, and you consent to personal jurisdiction in those courts.

13. Changes to these Terms

We may modify these Terms at any time. Modifications take effect when posted, and the “last updated” date above will be amended accordingly. Your continued use of the Site after posting constitutes acceptance of the modified Terms.

14. Copyright complaints

If you believe material accessible on the Site infringes your copyright, send a notice to greaterphiladelphiawba@gmail.com identifying the work, the material you claim infringes it and where it appears, your contact details, a statement of good-faith belief that the use is unauthorized, and a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act on the owner’s behalf. We remove infringing material upon valid notice.

15. General

If any provision of these Terms is held unenforceable, that provision shall be limited or severed to the minimum extent necessary and the remaining provisions shall remain in full force. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy, constitute the entire agreement between you and GPWBA regarding the Site. You may not assign these Terms without our written consent.
